The AMF awards its Marie-Josèphe-Vanel thesis prize in law to Vincent Ramonéda
Created in 2025, the AMF Marie-Josèphe-Vanel Prize aims to strengthen ties between the AMF and the academic world, and to promote legal research in the field of financial regulation law, the AMF Marie-Josèphe-Vanel prize is awarded, for its inaugural edition, to Vincent Ramonéda.

The Autorité des Marchés Financiers (AMF) has awarded the first edition of its Marie-Josèphe-Vanel thesis prize in law to Vincent Ramonéda for his doctoral thesis entitled "Actionnaires minoritaires et opérations sur capital dans les sociétés cotées" (Minority shareholders and capital operations at listed companies), defended in December 2023 at the University of Paris 1 Panthéon-Sorbonne. The treatment of investors in the context of capital operations is a key concern for the regulator, whose core missions include investor protection and the proper disclosure of information to the market.
The purpose of this thesis is to analyse the duties owed by senior management and controlling shareholders to minority shareholders, as well as the rights of the latter. It invites a rethinking of the legal framework governing certain minority shareholders ‘rights.
In particular, the thesis introduces the notion of a "dissenting minority", defined as the portion of shareholders opposing a specific transaction, and explores the possibility of granting them a dedicated withdrawal right, as exists in several foreign jurisdictions.
Vincent Ramonéda conducted his research work alongside his professional career as a lawyer. Since defending his thesis, he has been appointed as a lecturer in private law at the University of Rouen.
The €5,000 prize aims to encourage and recognise legal research of direct relevance to the AMF's missions. The official award ceremony took place on 27 January.
