The AMF orders DANAE GROUP to file a draft takeover bid for ENTREPRENDRE shares

As part of its work to protect savings invested in financial instruments and ensure the proper functioning of the financial markets, the Autorité des Marchés Financiers has expressly instructed DANAE GROUP to comply with its obligation to file a draft takeover bid within one month.

In a press release published on 17 May 2024, DANAE GROUP announced that it had acquired a controlling interest in ENTREPRENDRE, whose shares are traded on Euronext Growth, giving it 85.38% of the company’s capital and 75.68% of the voting rights. As a result, under the current regulations, DANAE GROUP was required to make a mandatory takeover bid, as it had exceeded the thresholds of 50% of the capital and voting rights.

As DANAE GROUP had not yet complied with its obligation to file a draft takeover bid for the ENTREPRENDRE shares it does not hold, on 15 April 2025, the AMF decided, pursuant to the provisions of Article L. 621-14, II of the Monetary and Financial Code and having noted DANAE GROUP's observations dated 10 March 2025, to order it to file this bid within one month.

DANAE GROUP was informed of this decision on 23 April 2025. It must now file a draft takeover bid for the ENTREPRENDRE shares by 23 May 2025 at the latest.
