The AMF encourages French participants to provide feedback to ESMA’s call for evidence on the implementation of the Shareholders Rights Directive (SRD 2)
On October 11th, ESMA published a call for evidence aimed at gathering feedback from stakeholders on the effectiveness of SRD 2 provisions in the areas of shareholders’ identification, transmission of information and the facilitation of the exercise of shareholder rights, as well as the transparency of proxy advisors.
Objective: provide further feedback for ESMA's assessment report
The AMF invites French participants directly or indirectly impacted by the SRD2 (especially investors, issuers, intermediaries, proxy advisors as well as consultants and service providers in the investor communication and voting industry) to share their feedback on the implementation of SRD2 and contribute possible ideas for improvement.
Stakeholders are invited to submit their responses via the questionnaire by November 28, 2022. ESMA will consider the feedback received when preparing its assessment report on the implementation of SRD 2 provisions that will be submitted to the European Commission by July 2023. ESMA is more specifically required to assess the need for further regulatory requirements with regard to proxy advisors.
The call for evidence is divided into five distinct sections: a general section accessible to all (section 3) followed by four sections dedicated to each specific group of stakeholders namely investors (section 4), issuers (section 5), intermediaries (section 6) and proxy advisors (section7).
